3. Fees and Payment

3.2 Payment Schedule:
– Projects under $600: Full payment is required upfront.
– Projects between $600 and $1,500: A 50% deposit is required upfront, with the remaining balance due upon completion.
– **Projects over $1,500:** Payment plans are available, including 50% upfront, 25% halfway through the project, and 25% upon completion.
– **Additional Work:** Any additional work beyond the agreed scope will be billed at $45-$65/hour.

3.3 **Late Payments:** Late payments may incur a fee of 1.5% per month on any outstanding balance.

3.4 **Taxes:** All prices are exclusive of applicable taxes, which the Client agrees to pay in addition to the stated fees.

### 4. Revisions and Changes

4.1 **Revisions:** The Client is entitled to a minimum number of revisions as outlined in the project proposal. Additional revisions will be charged at the hourly rate specified in Section 3.2.

4.2 **Change Requests:** Any changes to the original project scope must be documented and may result in additional fees and extended timelines.

### 5. Project Timeline and Delivery

5.1 **Timeline:** The estimated timeline for project completion will be detailed in the project proposal. While we strive to meet all deadlines, Grant Garrison LTD is not liable for delays caused by unforeseen circumstances or delays in receiving Client feedback.

5.2 **Delivery:** Final deliverables will be provided in the formats specified in the project proposal and will be deemed accepted upon delivery unless the Client notifies us of any issues within 14 days.

### 6. Intellectual Property

6.1 **Ownership:** Upon full payment, the Client will own the final design deliverables. Grant Garrison LTD retains the right to use any project elements for promotional purposes, including portfolio displays and marketing materials.

6.2 **Client Content:** The Client warrants that any content provided for use in the project does not infringe on any third-party rights. The Client agrees to indemnify Grant Garrison LTD against any claims arising from such content.

### 7. Confidentiality

Both parties agree to keep all project-related information confidential and not disclose it to any third parties without prior written consent, except as required by law.

### 8. Termination

8.1 **Termination by Client:** The Client may terminate the agreement at any time with written notice. In such cases, the Client agrees to pay for all work completed up to the date of termination.

8.2 **Termination by Company:** Grant Garrison LTD reserves the right to terminate the agreement if the Client breaches these Terms or fails to make payments. In such cases, the Client remains liable for any outstanding fees.

### 9. Liability and Warranty

9.1 **Limitation of Liability:** Grant Garrison LTD’s liability for any claim arising under these Terms shall be limited to the amount paid by the Client for the Services.

9.2 **No Warranty:** The Company provides the Services on an “as is” basis and makes no warranties, either express or implied, regarding the Services, including but not limited to fitness for a particular purpose or merchantability.

### 10. Dispute Resolution

10.1 **Negotiation:** In the event of a dispute, both parties agree to first attempt to resolve the issue through informal negotiation.

10.2 **Arbitration:** If the dispute cannot be resolved through negotiation, it shall be settled by binding arbitration under the rules of the American Arbitration Association.

4. **Maintenance Plans:**
– Maintenance services cover updates and support as outlined in the proposal. Additional support requests may incur extra charges.

5. **Software and Plugin Installation:**
– Plugin and software installations are subject to compatibility checks. The Client must ensure third-party software licensing and compliance.

6. **Content Updates:**
– Content updates are based on the Client’s submitted material. The Company is not responsible for verifying the accuracy of content provided by the Client.
